As of 1 July 2006 limited companies may file both notifications for registration and their annual accounts digitally with Bolagsverket.
Since 1 July 2006 it has been possible – entirely electronically – to file applications for new registrations of limited companies (with a bank certificate) as well as to notify certain changes in existing limited companies, such as changes of the articles of association and changes regarding officials. The notifications may be filed by one of the board members or the managing director, using his/her digital signature. Accordingly specimen signature and the auditors' affirmation are no longer needed.
The web service www.foretagsregistrering.se is used for digital filing of applications for registration.
To be able to file applications electronically with Bolagsverket you need to have a valid electronic signature.
Since 1 July 2006 it has been possible – entirely electronically – to sign and file complete accounting documents with Bolagsverket, using our service ’e–accounts’. By accounting documents we mean the annual accounts, including the auditor's report and the certificate of adoption. As of 1 July 2006 private limited companies may use the service; for requirements, see below. In the future the service shall also be available for other forms of business enterprise, and we shall also offer a service for filing interim reports and consolidated reports.
The service e–accounts simplifies the work of your enterprise by offering you the possibility of filing the accounting documents quickly and safely. For example, the annual accounts do not have to be forwarded to and fro between the board members and the auditor for signature. Everything can be signed digitally with a valid electronic identity directly in the new service. Automatic checks in the service will also show deficiencies, if any. This creates a contingency for a high level of quality and security for the enterprise.
It is also possible to file a certified electronic copy of the company's annual accounts through Bolagsverket's service, meaning that a board member or the managing director certifies that the electronic copy is according to the original of the annual accounts. When you file a certified electronic copy of the annual accounts, the auditor's report and the certificate of adoption must also be filed.
The service suggests who should sign the annual accounts and the auditor's report by his/her electronic signatures. It is therefore important to have access to personal identity numbers and contact information to check that the right persons and information are stated. The electronic accounting documents will be available for downloading through Bolagsverket's e–service www.bolagsverket.se/snr – Näringslivsregistret (the Trade and Industry Register).
XBRL is an XML based standard for storing, transfer and presentation of financial information. As of 1 July 2006 the Swedish XBRL association (XBRL Sweden) will be providing the Swedish taxonomy for annual accounts (SE–AR) and auditor's reports (SE–RB) to those who wishes to gain access to these taxonomies.
In this context, taxonomy means the principles ruling, how the order in the annual account, respectively the auditor's report, is created in the XBRL format. The annual account taxonomy is developed to meet the requirements as stipulated in the Annual Accounts Act for – in the first place – small and medium–sized enterprises. This means that the current version of the taxonomy is not complete to meet the needs of all enterprises. Bolagsverket intends to further develop the current service.
